Standard Contract Agreement
FOR NON-WHITE GLOVE HOURLY CONTRACTS - DIRECT PAYMENT BETWEEN PARTIES
1. WHAT IS A STANDARD CONTRACT?
A Standard Contract is an hourly engagement where:
- Payment is DIRECT - Customer pays Professional directly
- The rate is the posted rate - the Customer sets it when posting; a Professional applies at that rate and there is no bidding or negotiating
- Automate America is NOT INVOLVED in payment processing
- Standard Contracts: nothing to Automate America. Posting and hiring are free.

2. PAYMENT TERMS
Under a Standard Contract:
For Customers:
- You pay the Professional directly
- You pay the Professional the posted rate, on the payment terms stated on the contract; the rate is never negotiated
- Automate America does NOT handle payments or invoicing
- You are responsible for verifying hours and approving the timesheets the Professional submits on Automate America
For Professionals:
- You invoice the Customer directly
- You are paid the posted rate — there is no bidding or negotiating — on the payment terms stated on the contract
- Automate America is NOT responsible for collecting payment
- Any payment disputes are between you and the Customer
3. TAX OBLIGATIONS
Professional Responsibilities:
- You are responsible for ALL tax withholding and payments
- Self-employment taxes (Social Security and Medicare)
- Federal and state income taxes
- Quarterly estimated tax payments
- Providing a valid W-9 to the Customer
Customer Responsibilities:
- Issue Form 1099-NEC if payments to a Professional exceed $600/year
- Obtain W-9 from Professional before payment
- Maintain records for tax reporting purposes
AUTOMATE AMERICA DOES NOT WITHHOLD TAXES OR ISSUE TAX FORMS FOR STANDARD CONTRACTS.
4. WORKER CLASSIFICATION
Both parties acknowledge and agree:
- The Professional is an independent contractor, NOT an employee
- The Customer controls WHAT work is done, but NOT how it is done
- The Professional sets their own schedule and methods
- The Professional may work for other clients simultaneously
- Neither party will make claims that the other should be treated as an employee
THE CUSTOMER IS SOLELY RESPONSIBLE FOR PROPER WORKER CLASSIFICATION. AUTOMATE AMERICA HAS ZERO LIABILITY FOR MISCLASSIFICATION CLAIMS.
5. AUTOMATE AMERICA'S LIMITED ROLE
Under Standard Contracts, Automate America:
- Provides technology to facilitate the initial connection
- Charges no fee for Standard Contracts
- Has NO INVOLVEMENT in the ongoing business relationship
Automate America has ZERO responsibility for:
- Payment processing or collection
- Worker classification decisions
- Wage/hour compliance
- Tax withholding or reporting
- Workers' compensation
- Unemployment insurance
- Employee benefits
- Employment law compliance
- Workplace safety
- Injury liability
- Payment disputes between parties
6. MUTUAL INDEMNIFICATION
Both Customer and Professional agree to indemnify, defend, and hold harmless Automate America from:
- Any claims arising from the Standard Contract relationship
- Payment disputes between the parties
- Worker misclassification claims
- Tax-related claims from governmental agencies
- Any claim that Automate America should be treated as an employer, joint employer, or payment processor

Required Acknowledgments
- I have read and understand this Standard Contract Agreement.
- I understand that payment is DIRECT between Customer and Professional. Automate America does NOT process payments or handle invoicing for Standard Contracts.
- I understand I am responsible for issuing Form 1099-NEC if required and obtaining a W-9 from the Professional.
- I acknowledge that the Professional is an independent contractor, NOT an employee. Automate America has ZERO liability for worker classification, payments, or employment matters. I agree to indemnify Automate America against any related claims.
