1. PARTIES

<p>This Supplier Service Agreement ("Agreement") is entered into between:</p><p><strong>Automate America, Inc.</strong> ("Company", "Employer", "We")<br/>PO BOX 1638<br/>Greer, SC 29652<br/>Phone: 586-770-8083<br/>Email: info@automateamerica.com</p><p>AND</p><p><strong>Contractor</strong> ("You", "Employee")<br/>As identified in your onboarding documentation.</p>

2. DEFINITIONS

<p><strong>"White Glove Employment"</strong> means you are employed by Automate America as a W-2 employee while performing work at Customer locations.</p><p><strong>"Customer"</strong> means the company where you perform work assignments.</p><p><strong>"Assignment"</strong> means a specific work engagement with a Customer.</p><p><strong>"Pay Rate"</strong> means your hourly compensation as specified in your Assignment details.</p>

3. EMPLOYMENT RELATIONSHIP

<p>As a White Glove contractor, you are a <strong>W-2 employee of Automate America, Inc.</strong> - NOT an independent contractor and NOT an employee of the Customer.</p><p><strong>3.1 Automate America Responsibilities:</strong></p><ul><li>Process your payroll</li><li>Withhold applicable taxes</li><li>Provide workers' compensation coverage</li><li>Maintain general liability insurance</li><li>Issue W-2 tax forms</li></ul><p><strong>3.2 Your Responsibilities:</strong></p><ul><li>Complete work assignments professionally</li><li>Submit accurate timesheets on time</li><li>Comply with Customer workplace policies</li><li>Maintain required certifications</li><li>Report workplace issues promptly</li></ul>

4. SERVICES AND ASSIGNMENTS

<p>You agree to accept work assignments matched to your skills and preferences. Each Assignment includes:</p><ul><li>Customer name and location</li><li>Job duties and expectations</li><li>Pay Rate</li><li>Estimated duration</li><li>Special requirements</li></ul><p>You may decline assignments, but excessive declines may affect future opportunities.</p>

5. COMPENSATION AND BENEFITS

<p><strong>5.1 Pay</strong><br/>You are paid <strong>weekly</strong> via direct deposit for approved timesheets at your agreed Pay Rate.</p><p><strong>5.2 Overtime</strong><br/>Overtime (over 40 hours/week) is paid at 1.5x your regular rate, subject to Customer approval.</p><p><strong>5.3 Benefits</strong><br/>White Glove contractors may be eligible for health benefits after qualifying periods. Contact HR for details.</p>

6. TAX WITHHOLDING

<p>As a W-2 employee, Automate America withholds:</p><ul><li>Federal income tax</li><li>State income tax (where applicable)</li><li>Social Security and Medicare (FICA)</li></ul><p>You will receive a W-2 by January 31 each year for the prior year's earnings.</p>

7. INSURANCE COVERAGE

<p>Automate America maintains:</p><p><strong>Workers' Compensation:</strong> Covers work-related injuries</p><p><strong>General Liability:</strong> Covers third-party claims</p><p>Report any workplace injuries immediately to both Automate America and the Customer.</p>

8. PROFESSIONAL CONDUCT

<p>You agree to:</p><ul><li>Arrive on time and complete scheduled hours</li><li>Follow Customer safety protocols</li><li>Maintain professional appearance and communication</li><li>Not engage in harassment or discrimination</li><li>Not use Customer resources for personal purposes</li></ul>

9. CONFIDENTIALITY

<p>You agree to keep confidential all proprietary information of Automate America and Customers, including but not limited to trade secrets, business processes, and client data.</p><p>This obligation continues after your employment ends.</p>

10. NON-COMPETITION AND NON-SOLICITATION

<p>During your employment and for 6 months after:</p><ul><li>You will not directly work for Customers outside this Agreement</li><li>You will not solicit other Automate America contractors</li></ul><p>If Customer wishes to hire you directly, appropriate fees must be paid to Automate America.</p>

11. TERMINATION

<p>Employment is at-will. Either party may terminate with or without cause:</p><p><strong>By You:</strong> Provide 2 weeks notice when possible</p><p><strong>By Automate America:</strong> May terminate immediately for cause or with notice otherwise</p><p>Termination from one Assignment does not necessarily terminate your employment with Automate America.</p>

12. GENERAL PROVISIONS

<p><strong>Governing Law:</strong> South Carolina</p><p><strong>Dispute Resolution:</strong> Arbitration in Greenville County, SC</p><p><strong>Entire Agreement:</strong> This Agreement supersedes all prior agreements</p><p><strong>Amendments:</strong> Must be in writing</p><p><strong>Contact Information:</strong><br/>Automate America, Inc.<br/>PO BOX 1638<br/>Greer, SC 29652<br/>Phone: 586-770-8083<br/>Email: info@automateamerica.com</p>

Acknowledgment

<p>By accepting this Agreement, you acknowledge:</p><ul><li>You are a W-2 employee of Automate America, Inc.</li><li>Automate America will withhold applicable taxes</li><li>You will receive workers' compensation coverage</li><li>You agree to the compensation and payment terms</li><li>You will maintain confidentiality of proprietary information</li><li>You understand the non-competition and non-solicitation provisions</li></ul>
