1. PARTIES

This Supplier Service Agreement ("Agreement") is entered into between:

Automate America, Inc. ("Company", "Employer", "We")

Contractor ("You", "Employee")
As identified in your onboarding documentation.

2. DEFINITIONS

"White Glove Employment" means you are employed by Automate America as a W-2 employee while performing work at Customer locations.

"Customer" means the company where you perform work assignments.

"Assignment" means a specific work engagement with a Customer.

"Pay Rate" means your hourly compensation as specified in your Assignment details.

3. EMPLOYMENT RELATIONSHIP

As a White Glove contractor, you are a W-2 employee of Automate America, Inc. - NOT an independent contractor and NOT an employee of the Customer.

3.1 Automate America Responsibilities:

  • Process your payroll
  • Withhold applicable taxes
  • Provide workers' compensation coverage
  • Maintain general liability insurance
  • Issue W-2 tax forms

3.2 Your Responsibilities:

  • Complete work assignments professionally
  • Submit accurate timesheets on time
  • Comply with Customer workplace policies
  • Maintain required certifications
  • Report workplace issues promptly

4. SERVICES AND ASSIGNMENTS

You agree to accept work assignments matched to your skills and preferences. Each Assignment includes:

  • Customer name and location
  • Job duties and expectations
  • Pay Rate
  • Estimated duration
  • Special requirements

You may decline assignments, but excessive declines may affect future opportunities.

5. COMPENSATION AND BENEFITS

5.1 Pay
You are paid weekly via direct deposit for approved timesheets at your agreed Pay Rate.

5.2 Overtime
Overtime (over 40 hours/week) is paid at 1.5x your regular rate, subject to Customer approval.

5.3 Benefits
White Glove contractors may be eligible for health benefits after qualifying periods. Contact HR for details.

6. TAX WITHHOLDING

As a W-2 employee, Automate America withholds:

  • Federal income tax
  • State income tax (where applicable)
  • Social Security and Medicare (FICA)

You will receive a W-2 by January 31 each year for the prior year's earnings.

7. INSURANCE COVERAGE

Automate America maintains:

Workers' Compensation: Covers work-related injuries

General Liability: Covers third-party claims

Report any workplace injuries immediately to both Automate America and the Customer.

8. PROFESSIONAL CONDUCT

You agree to:

  • Arrive on time and complete scheduled hours
  • Follow Customer safety protocols
  • Maintain professional appearance and communication
  • Not engage in harassment or discrimination
  • Not use Customer resources for personal purposes

9. CONFIDENTIALITY

You agree to keep confidential all proprietary information of Automate America and Customers, including but not limited to trade secrets, business processes, and client data.

This obligation continues after your employment ends.

10. NON-COMPETITION AND NON-SOLICITATION

During your employment and for 6 months after:

  • You will not directly work for Customers outside this Agreement
  • You will not solicit other Automate America contractors

If Customer wishes to hire you directly, appropriate fees must be paid to Automate America.

11. TERMINATION

Employment is at-will. Either party may terminate with or without cause:

By You: Provide 2 weeks notice when possible

By Automate America: May terminate immediately for cause or with notice otherwise

Termination from one Assignment does not necessarily terminate your employment with Automate America.

12. GENERAL PROVISIONS

Governing Law: South Carolina

Dispute Resolution: Arbitration in Greenville County, SC

Entire Agreement: This Agreement supersedes all prior agreements

Amendments: Must be in writing

Acknowledgment

By accepting this Agreement, you acknowledge:

  • You are a W-2 employee of Automate America, Inc.
  • Automate America will withhold applicable taxes
  • You will receive workers' compensation coverage
  • You agree to the compensation and payment terms
  • You will maintain confidentiality of proprietary information
  • You understand the non-competition and non-solicitation provisions
